Today, more and more, corporate transactions are driven by technology issues. In this environment, IP legal issues have never been more pronounced, and, as a result, IP lawyers are increasingly involved in business transactions. To be truly effective, they need to know more than just the IP issues involved. To add value, they need to understand the other factors driving business transactions how and why transactions are structured, how businesses are financed, what owners and investors expect, why and how IP ownership and license rights matter (and when they don’t), and where and when IP representations and warranties come into play. Tuition

Regular tuition for this program is $695 with a group rate of $620 each for two or more registrants from the same firm. For government employees, we offer a special rate of $545. For students and people in their job for less than a year, our rate is $347.50. All rates include admission to all seminar sessions, food and beverages at breaks, and all course materials. Make checks payable to Law Seminars International.

Cancellation & Substitution

You may substitute another person at any time. We will refund tuition, less a $50 cancellation fee, if we receive your cancellation by 5:00 p.m. on Friday, May 26, 2006. After that time, we will credit your tuition toward attendance at another program or the purchase of a homestudy. There is a $25 cancellation fee for Course Materials orders and $50 for Homestudy orders.

Continuing Education Credits

This program's credits for IL are currently pending. Upon request, we will apply for CLE credits in other states and other types of credits.

If You Cannot Attend

Our complete Homestudy Course, consisting of a VHS or DVD recording and the written course materials, is available for $705. The written course materials alone are available for $100. We will ship your homestudy order via UPS ground within two weeks after the seminar or the date we receive payment (whichever is later).

Faculty Bios

John R. (Ross) Docksey, Program Co-Chair, is a partner with Sonnenschein Nath & Rosenthal LLP where his practice focuses on corporate transactions, including mergers and acquisitions, the creation of strategic alliances, the outsourcing of key business functions, and technology contracting. He also serves as General Counsel or principal outside corporate counsel for a number of closely held corporations. He was one of five lawyers named to HRO Today's list of the 100 Superstars of Outsourcing.

Wayne P. Sobon, Program Co-Chair, is the Associate General Counsel and Director of Intellectual Property at Accenture. He is responsible for intellectual property issues, including the program for capturing, protecting and exploiting Accenture's innovations.

David A. Balto is a partner at Robins, Kaplan, Miller & Ciresi L.L.P. He focuses on antitrust and trade regulation and intellectual property litigation. Previously he was Policy Director of the Bureau of Competition of the Federal Trade Commission and attorney advisor to Chairman Robert Pitofsky.

Michael Gill is Senior Counsel with Accenture and is a member of its Legal and Commercial Group. He specializes in large technology and business process outsourcing transactions.

Neil S. Hirshman, a partner at Kirkland & Ellis LLP, focuses his practice on intellectual property and technology related transactions, including outsourcing, software development, software, trademark, patent and technology licensing, telecommunications, international franchising, commercial agreements and strategic alliances. He is the founder and chairman of the Chicago Chapter of the International Association of Outsourcing Professionals. He has been selected as a leading lawyer in IT in the Guide to the World's Leading Technology, Media & Telecommunication Lawyers and as a Leading Lawyer in Illinois for Intellectual Property.

Kathleen M. Kedrowski is a Director at LECG, LLC, where she is involved in economic, business and financial analyses in IP, licensing, and other disputes. She also advises clients on the strategic use of intellectual assets such as effective utilization and monetization and strategies throughout the intangible asset life cycle.

John W. Martin, a partner at Baker Botts LLP, focuses on mergers and acquisitions, corporate finance, and outsourcing transactions. He represents clients in complex M&A transactions, including negotiated acquisitions and divestitures, leveraged buyouts, and spin-off transactions. He has been named a "Texas Super Lawyer" by Texas Monthly and Law & Politics, is listed in Marquis Who's Who in American Law, and The Best Lawyers in America, and is recognized by Chambers USA America's Leading Business Lawyers.

Michael S. Mensik is the global coordinator of Baker & McKenzie LLP's Global Information Technology/e-Commerce Law practice. He is also the North American editor of the "Global e-Law Alert," a weekly electronic bulletin that tracks information technology and e-commerce related developments throughout the world. His practice has an emphasis on copyright law.

James Pajakowski is a Managing Director at Protiviti Inc. and a member of the Operating Committee. He is responsible for leading the Business Risk Service line globally as well as providing overall operational leadership for the Central Area operations. He advises clients on the effectiveness of their current internal audit department.

Vincent A. Sanchez co-chairs the Technology and Sourcing Practice Group at DLA Piper Rudnick Gray Cary. He focuses his practice in the areas of technology-related transactions, electronic commerce and privacy, outsourcing, and general corporate law. He has been named by the Law Bulletin Publishing Company as one of "40 Illinois Attorneys under 40 to Watch", was designated an Illinois Super Lawyer, by Chicago Magazine, and is listed in Chambers USA : America's Leading Lawyers for Business.

Charles W. Shifley is a partner at Banner & Witcoff, Ltd., concentrating on IP transactions and trials. His recent successes include: brought the defense of a major instant message provider, in Chicago, against a $160M claim, to a successful summary judgment; accomplished the same result for a major tier one automotive supplier, in Detroit; enforced a patent in Texas for a start up company against a multimillion-dollar defense effort. In 2005, he was named an Illinois Super Lawyer and in the Top 100 Super Lawyers in Illinois.
