Today, more and more corporate transactions are driven by technology issues. In this environment, IP legal issues have never been more pronounced, and, as a result, IP lawyers are increasingly involved in various aspects of business transactions. To be truly effective, they need to understand more than just the IP issues involved. They need to understand the other factors driving business transactions, such as how and why transactions are structured, how businesses are financed, what owners and investors expect, why and how IP ownership and license rights matter (and when they do not), and where and when IP representations and warranties come into play. Tuition

Regular tuition for this program is $795 with a group rate of $645 each for two or more registrants from the same firm. For government employees, we offer a special rate of $720. For students and people in their job for less than a year, our rate is $397.50. All rates include admission to all seminar sessions, food and beverages at breaks, and all course materials. Make checks payable to Law Seminars International.

Cancellation & Substitution

You may substitute another person at any time. We will refund tuition, less a $50 cancellation fee, if we receive your cancellation by 5:00 p.m. on Friday, June 9, 2006. After that time, we will credit your tuition toward attendance at another program or the purchase of a homestudy. There is a $25 cancellation fee for Course Materials orders and $50 for Homestudy orders.

Continuing Education Credits

This program qualifies for 6.5 GA CLE credits. Upon request, we will apply for CLE credits in other states and other types of credits.

If You Cannot Attend

Our complete Homestudy Course, consisting of a VHS or DVD recording and the written course materials, is available for $755. The written course materials alone are available for $100. We will ship your homestudy order via UPS ground within two weeks after the seminar or the date we receive payment (whichever is later).

Faculty Bios

J. Allen Maines, Program Co-Chair, is the national vice-chairman of Paul, Hastings, Janofsky & Walker LLP's Litigation Department. His practice concentrates on complex corporate counseling, governance and shareholder/fiduciary/intellectual property litigation. He is pre-approved by and serves as panel counsel for most insurers in the defense of securities, fiduciary and employment class actions.

Lynn S. Scott, Program Co-Chair, is a partner with King & Spalding LLP and a member of the Private Equity Practice Group of the Corporate Team. She concentrates her practice in corporate and securities law, with an emphasis on growth companies in the technology, telecommunications and biotechnology fields. She has been included in "The Best Lawyers in America," and recognized as a Georgia Super Lawyer.

Alexandrina (Alex) H. Douglass is Chief Counsel for Intellectual Property and Information Technology as well as Chief Counsel for Latin American Operations for ING North America Insurance Corporation. She manages IP-related aspects of mergers and acquisitions including negotiation of transition documents and technology schedules. Previously, Ms. Douglass was with Troutman Sanders LLP.

Gordon D. Giffin is co-chair of the Public Policy and Regulatory Affairs Practice of McKenna Long & Aldridge LLP. His practice is focused on international transactions and trade matters, government procurement, federal and state regulatory matters and public policy. Mr. Giffin previously served as the U.S. Ambassador to Canada.

Scott M. Hobby, a partner with Paul, Hastings, Janofsky & Walker LLP, leads the Outsourcing/Systems Integration Practice focusing on business process outsourcing, applications service provider, enterprise resource platform systems integration and information technology services arrangements.

Rebecca J. Kaufman's practice in King & Spalding LLP's Intellectual Practice Group includes U.S. and international patent prosecution and transactional due diligence in a broad range of chemical and biotechnology areas. Before joining the firm, she was a principal with Cordova Ventures, where she worked closely with life sciences portfolio companies on patent-related matters.

David M. Klein, of Paul, Hastings, Janofsky & Walker LLP, is an expert on the structuring and negotiation of complex technology and technology-related transactions including outsourcing transactions, technology development and licensing agreements, and other corporate transactional matters. He is also the author of "Intellectual Property in Mergers and Acquisitions."

Brad Lyerla is senior partner at Marshall Gerstein & Borun LLP. He has acted as lead counsel in numerous trials and arbitrations for such companies as: Solo Cup Company, Chris-Craft Industries, AM International, U.S. Robotics, MCI, The Quaker Oats Company, FutureSource and many more. He also has been lead counsel in dozens of litigations that ended successfully without trial representing such companies as General Dynamics, General Electric, Charter Communications, Wolfram Research and Sara Lee, among many others. Most of Mr. Lyerla's civil litigation has involved intellectual property disputes. He also has been lead counsel in over a dozen criminal trials, including two death penalty cases. Mr. Lyerla is a graduate of the University of Illinois where he was Phi Beta Kappa as an undergraduate and a member and editor of the Law Review in the College of Law. He is listed in "Who's Who in America" and "Who's Who in American Law," is a Life Fellow of the American Bar Foundation, is listed in Leading Lawyer Network, America's Leading Lawyers and is an Illinois Super Lawyer. Mr. Lyerla is Chair of IPLAC's litigation committee.

M.J. Moltenbrey is a member of Freshfields Bruckhaus Deringer LLP's antitrust practice. Prior to joining the firm. M.J. spent 17 years in the U.S. Department of Justice, Antitrust Division, where she most recently served as the director of civil non-merger enforcement, the senior career official responsible for the Antitrust Division's civil conduct investigations and litigation. She gained extensive experience in the aviation, media and financial services industries and with respect to intellectual property and internet/e-commerce issues.

Robert J. Pile is a partner and a member of Sutherland Asbill & Brennan LLP's Business Practices Group. His practice emphasizes acquisition and disposition transactions, restructurings and securities offerings. Mr. Pile's experience includes the representation of buyers and sellers for both private and publicly held companies.

Steve Wildfeuer is Senior Director and Associate General Counsel for LexisNexis. He manages the Intellectual Property and Commercial Transactions Group and, among other things, is responsible for supervising the registration, protection and enforcement of LexisNexis intellectual property around the world.
